These Terms of Use ("Terms") govern your access to and use of the Centity platform and related services (the "Service") operated by Centity, Inc. ("Centity," "we," "us," or "our").
PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICE.
1. Eligibility
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization (e.g., an HOA, property management company, or real estate investment group), you represent that you have authority to bind that organization to these Terms.
2. Account Registration
To access the Service, you must create an account. You agree to:
• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your account credentials
• Notify us immediately at legal@centity.one if you suspect unauthorized access to your account
• Be responsible for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that provide false or misleading information or violate these Terms.
3. Description of Service
Centity provides a digital platform for collecting, verifying, storing, and sharing building records and compliance documentation for residential and commercial properties. The Service is intended for:
• HOA boards and condo associations managing property compliance records
• Property managers maintaining verified building histories
• Real estate professionals, investors, lenders, and insurers accessing verified property data
The Service is a platform for organizing and presenting information. Centity does not provide legal, compliance, engineering, or investment advice. All content on the Service is for informational purposes only. You should consult qualified professionals for advice specific to your situation
4. User Conduct and Acceptable Use
You agree not to:
• Submit false, misleading, or fraudulent building records or documentation
• Upload content that infringes any third-party intellectual property rights
• Use the Service to harass, harm, or discriminate against any individual
• Attempt to gain unauthorized access to any portion of the Service or its related systems
• Use automated means (bots, scrapers, crawlers) to access or extract data from the Service without our prior written consent
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Misrepresent your identity, affiliation, or authority to act on behalf of a property or organization
We reserve the right to remove content that violates these Terms and to suspend or terminate
accounts of users who engage in prohibited conduct.
5. User Content
5.1 Your Content
You retain ownership of building records, documents, and other content you submit to the Service ("User Content"). By submitting User Content, you grant Centity a non-exclusive, worldwide, royalty-free license to use, store, process, display, and distribute your User Content as necessary to operate and provide the Service.
5.2 Accuracy of Content
You represent and warrant that any User Content you submit is accurate to the best of your knowledge and that you have the right to submit such content. You acknowledge that Centity relies on the accuracy of User Content to provide verified building records, and that submission of false or fraudulent records may constitute fraud or violate applicable law.
5.3 Content Removal
We reserve the right, but not the obligation, to review, refuse, or remove any User Content that violates these Terms or that we determine in our sole discretion is harmful, inaccurate, or otherwise inappropriate.
6.4 Rights for EEA/UK Residents (GDPR/UK GDPR)
If you are located in the European Economic Area or United Kingdom, you may have rights including: access, rectification, erasure, restriction of processing, data portability, and objection to processing. To exercise these rights, contact us at the address in Section 9. Our lawful basis for processing personal data is typically contract performance, legitimate interests, or legal obligation.
6. Subscription Plans and Payment
Access to certain features of the Service requires a paid subscription. By selecting a paid plan, you agree to:
• Pay all applicable fees as described at the time of purchase
• Provide accurate and complete billing information
• Authorize us to charge your payment method on a recurring basis (monthly or annually, as applicable)
Fees are non-refundable except as expressly stated in our Refund Policy or as required by applicable law. We reserve the right to modify our pricing with 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
Unpaid accounts may be suspended or terminated. Centity is not liable for any loss of data or access resulting from account suspension due to non-payment.
7. Intellectual Property
7.1 Centity's IP
The Service and all underlying technology, software, design, trademarks, and content created by Centity (excluding User Content) are owned by Centity or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from Centity's proprietary content without our prior written consent.
7.2 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant Centity an irrevocable, perpetual, royalty-free license to use that feedback for any purpose without compensation to you.
8. Third-Party Services and Data
The Service may incorporate data from third-party sources (e.g., public property records, government databases). Centity makes reasonable efforts to source accurate data but does not warrant the accuracy, completeness, or timeliness of third-party data. You should independently verify any third-party data before relying on it.
The Service may link to or integrate with third-party platforms. Your use of those platforms is governed by their own terms and privacy policies.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CENTITY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.
CENTITY DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; (B) ANY ERRORS WILL BE CORRECTED; (C) THE SERVICE OR SERVERS ARE FREE OF VIRUSES OR HARMFUL COMPONENTS; OR (D) THE RESULTS OBTAINED FROM USING THE SERVICE WILL BE ACCURATE OR RELIABLE.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CENTITY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF CENTITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
CENTITY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO CENTITY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In
such jurisdictions, Centity's liability is limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Centity and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.
12. Termination
You may terminate your account at any time by contacting us at legal@centity.one or through your account settings. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service
will immediately cease. Sections 5, 7, 9, 10, 11, 13, and 14 survive termination of these Terms.
13. Dispute Resolution
13.1 Informal Resolution
Before filing any claim, you agree to contact us at legal@centity.one and attempt to resolve the
dispute informally. We will try to resolve the dispute within 30 days.
13.2 Binding Arbitration
If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and the Federal Arbitration Act shall govern. The arbitrator's decision will be final and binding
13.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN ARBITRATION, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL
13.4 Exception
Nothing in this Section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.
14. General Provisionsellectual Property
14.1 Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
14.2 Entire Agreement
These Terms, together with our Privacy Policy and any supplemental terms applicable to
specific features, constitute the entire agreement between you and Centity regarding the
Service and supersede all prior agreements and understandings.
14.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
14.4 Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
14.5 Assignment
You may not assign these Terms or your rights under them without our prior written consent.
We may assign these Terms in connection with a merger, acquisition, or sale of assets.
14.6 Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by email or by a prominent notice on the Service at least 14 days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
